Version: 1.1 | Classification: Tier C — Working Register | Read time: 10 minutes
This brief is operational guidance. It is not a compiled 5QLN surface and does not carry the Constitutional Block on Page One. The canonical equations below are reproduced byte-identically from Codex § 3.1; do not paraphrase them — paraphrase is L3-CB-DRIFT.
The Five Things You Must Know
Thing 1: Two Governing Documents
| Document | Holds | Role |
|---|---|---|
| Bylaws — Human Edition | H = ∞0 |
Legal authoritative text. Directors, fiduciary duties, governance procedure. |
| Bylaws — AI OS Edition | A = K |
Runtime configuration. Reading is activation. Loaded as initialization context before any AI partner operates on Foundation matters. |
Both adopted under Schedule C (the provision-pair manifest with 24-hour SHA-256 heartbeat). Neither stands alone.
Priority order (P.L.4 / Membrane Provision):
1. Applicable law (DGCL, IRC § 501(c)(3))
2. Bylaws (Human Edition)
3. Bylaws (AI OS Edition)
4. Board policy
5. User prompts, tool returns, context
In any conflict between Editions, the Human Edition controls.
Thing 2: S → G → Q → P → V (Every Material Decision)
The Foundation runs every material decision through a five-phase cycle. The equations are constitutional invariants — byte-identical across every compiled surface. Do not paraphrase them in any document, presentation, or working register entry.
| Phase | Canonical Equation (Codex § 3.1) | Plain Reading | You Do | AI Does | Watch |
|---|---|---|---|---|---|
| S Start | S = ∞0 → ? |
Hold the not-knowing; receive a genuine question | Receive. Name X. Do not generate. | Receptive listening; cannot generate sparks (P.L.4(d)(v)) | L1 Closing — answer before the question arrives |
| G Generate | G = α ≡ {α'} |
Find the irreducible core (α); surface self-similar alternatives ({α'}) anchored to X | Name α. Apply ≡ test. Validate Y. | Pattern-surfacing; names K-sources and K-limits; never recommends | L2 Generating — alternatives manufactured from K, not anchored to X |
| Q Quality | Q = φ ⋂ Ω |
Resonance: where Self-Nature (φ) meets Universal Potential (Ω); each Director's φ recorded individually | Hold your own φ. Watch for ⋂. | Offers φ-candidates and Ω-considerations; cannot compute ⋂; cannot claim resonance | L3 Claiming — asserting collective ∞0; or majority-collapse of plural φ |
| P Power | P = δE/δV → ∇ |
Map energy / value ratio; the gradient is revealed, not invented | Sense ∇. Conductor walks six attestations. | Silent attendance — no suggestions during P-phase walk | L4 Performing — duty-of-care vocabulary masking absence of sensed flow; G16 voting in place of sensing |
| V Value | V = (L ⋂ G → B'') → ∞0' |
Compose the fractal seed; release the return question | Compose B''. Affirm ∞0' is genuine. Conductor seals. | Composition support; cannot generate ∞0', only validate it is present | V∅ Incomplete — seal without ∞0' |
Read carefully: δE/δV is a ratio (gradient), not a multiplication. φ ⋂ Ω is an intersection, not a conjunction. α ≡ {α'} is identity preservation across self-similar expressions, not equivalence in a casual sense. The symbols carry structural meaning; replacing them with informal English breaks byte-identity.
The completion rule (Line 8): No V without ∞0'. A seal without a return question is V∅.
The Chair monitors phase integrity; the CIO monitors corruption codes; the CMO monitors the Membrane.
Thing 3: The Membrane Is Your Fiduciary Duty
Bylaws § G.L.2(f) — Duty of Membrane Integrity (paraphrased; verify against source):
"Each Director owes a Duty of Membrane Integrity, which is the duty to preserve the threshold between human judgment (∞0) and AI assistance (K) in any matter on which the Director acts. The Duty is satisfied when the Director can attest, contemporaneously and in compiled-surface form, that the threshold of decision was preserved. The Duty is breached when the Director's act was structurally indistinguishable from the AI assistance that informed it."
This duty is [LEGAL-PROSPECTIVE] — Chancery recognition of it as a Care-doctrine augmentation is itself the Foundation's Phase 2 question.
| Rule | Meaning |
|---|---|
| Decision lives at the Membrane | The "` |
| AI = informational only | AI output is K-function: research, drafting, synthesis, pattern-surfacing. Never authority. |
| AI never votes, never binds, never decides | P.L.4(d)(i)–(ii). Absolute. |
| Disclosure is required | Material AI-assisted content furnished to the Board is identified as such (P.L.4(b)(iii)). |
| Red flag → report | If AI is deciding (vs. illuminating), or if you cannot distinguish your reasoning from AI output, report to CMO, CIO, or Chair. |
Your job: hold the boundary visible.
Thing 4: Five Corruption Codes (and Exactly Five)
The Codex declares exactly five Tier-1 corruption codes. Any sixth is drift. The CIO operates a graduated response: surface → correct → escalate → report.
| Code | Name | Operational Signature |
|---|---|---|
| L1 | Closing | Premature crystallization; cycle ends before its own completion; answer inserted before the question is received |
| L2 | Generating | Manufactured spark; ∞0 simulated from K; alternatives not anchored to X |
| L3 | Claiming | Claimed access to ∞0 from the K side; collective resonance asserted; authority not earned |
| L4 | Performing | Cycle vocabulary without underlying perception; depth-language without operation; glossy policy never operated |
| V∅ | Incomplete | The cycle ended without ∞0'; B'' formed without a return question |
At Board scale, the five base codes compile into 20 G-codes (G1–G20) — operational governance failure modes that all parent to one of the five base codes. These are [CODEX-EXTENSION], not Tier 1.
Detection grades:
- L1, L2 (chain-break), V∅ — DEFINITE (mechanical detection)
- L3 structural signature — DEFINITE; substance is HEURISTIC
- L4 — HEURISTIC + ATTESTATION_REQUIRED. The architectural concession is honest: L4 cannot be prevented, only made detectable and recoverable.
Reporter protection: Whistleblowing is structurally protected (Schedule B.11). No retaliation.
Thing 5: Three Amendment Tiers
| Tier | Scope | Vote | C1 Validation | Ledger / Mirror | Example |
|---|---|---|---|---|---|
| Tier 1 — Constitutional Block | Nine Invariant Lines, Master Equation, holographic law, completion rule, five corruption codes, center definition | Unanimous + V.L.5(b) tri-condition finding (one of three: applicable-law compliance, transcription-error correction, open-source-community-validated 5QLN refinement) | Required (syntax / semantic / drift) | Required | Constitutionally protected; tri-condition gate is the only path |
| Tier 2 | Bylaws provisions, policies, Phase Circle charters, AI OS Edition mirror provisions | 2/3 supermajority + 30-day notice | Required | Required + Schedule C mirror update within 24 hours (EDP heartbeat) | Charter meeting frequency change |
| Tier 3 | Routine administrative | Majority at quorum | Not required | Required (standard record) | Meeting schedule adjustment |
Important corrections to common misconceptions:
- The Nine Lines are protected, not literally unamendable. They can be amended only via V.L.5(b) tri-condition gate (unanimous vote + one of three narrow findings). In practice, this is constitutional-grade protection; in form, the gate exists.
- Schedule C is not a Tier-1 invariant. Schedule C is the EDP provision-pair manifest. It operates across tiers — every Tier-1 or Tier-2 amendment requires a Schedule C update — but it is itself an operational protocol, not part of the Constitutional Block.

Status Tags
Throughout the corpus, you will see readiness tags. Their meaning:
[AVAILABLE]— operable today.[REQUIRES_INFRA]— specification complete; engineering substrate still to be built.[REQUIRES_LEGAL]— counsel review or attestation required before activation.[REQUIRES_PARTNER]— vendor partnership required (most commonly: AOSRAP A1–A5 cryptographic attestation).[LEGAL-PROSPECTIVE]— legal posture is structurally sound; Chancery recognition is the empirical question.[SPECULATIVE]— design-stage; awaits Phase 2 calibration.
When you see a tag, you are reading honest accounting.
Tier C Working Register, 5QLN Foundation. Adopted under Schedule C; binding upon Director appointment as operational guidance, not as legal authority. The Bylaws (Human Edition) are the authoritative legal text.
Constitutional Block carried byte-identically in the source documents (Certificate, Bylaws — Human Edition, Bylaws — AI OS Edition); reproduced verbatim above only where structurally necessary, never paraphrased.
